Коммерческая деятельность компании в тот период, когда у нее уже нет возможности избежать ликвидации (liquidation) по причине неплатежеспособности. Ликвидатор компании может просить суд вынести распоряжение, требующее от директора компании, вступившей в стадию ликвидации по причине неплатежеспособности, пополнить активы компании. Если директор знал или обязан был знать о положении компании, суд имеет право приказать директору пополнить активы компании в любой форме, которую суд сочтет подходящей. Ответственность возлагается на директора и в том случае, если какое-либо лицо в компании, выполняющее функции, аналогичные директорским, осознавало положение компании: доказательств преднамеренного обмана приводить не требуется.
